These terms describe your rights and responsibilities when using Chroniq, including recording meetings and connecting optional third-party services.

1. Agreement and operator

These Terms of Service (“Terms”) are an agreement between you and Syscake S.r.l., Via Quinto Novio 44, 00175 Rome (RM), Italy, VAT and tax identification number 16207441003 (“Syscake”, “we”, “us”), for your use of the Chroniq macOS application and related website.

By downloading, installing, or using Chroniq, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Chroniq.

2. Eligibility and authority

You must be legally capable of entering this agreement. If you use Chroniq for an organization, you confirm that you have authority to accept these Terms for that organization; “you” then includes the organization. Chroniq is not directed to children under 16.

3. License and ownership

Subject to these Terms, Syscake grants you a limited, non-exclusive, non-transferable, revocable license to install and use Chroniq on supported Apple silicon Macs for your lawful personal or internal business purposes. Syscake and its licensors retain all rights in Chroniq, its website, branding, and documentation that are not expressly granted to you.

You may not copy, distribute, sell, lease, sublicense, or commercially provide Chroniq to others except where applicable law expressly permits it. You may not remove ownership notices or use Chroniq’s branding in a way that suggests sponsorship or affiliation.

4. Recording and participant consent

You decide when recording starts and stops. You are responsible for recording lawfully.

Laws and workplace policies may require notice, consent from every participant, or prohibit recording in particular settings. Before using Chroniq, obtain all permissions required where you and the participants are located and for the subject matter involved.

Do not record confidential, privileged, regulated, or highly sensitive conversations unless you are authorized to do so and have assessed the security and compliance requirements. Chroniq does not determine whether a recording is lawful or provide legal advice.

5. Your content and local archive

As between you and Syscake, you retain your rights in recordings, transcripts, meeting metadata, generated artifacts, and other content you create or process with Chroniq. You grant Syscake no right to that content merely by storing it locally.

You are responsible for the accuracy, legality, and permitted use of your content and generated artifacts. Automated transcription and generated outcomes can be incomplete or incorrect; review them before relying on, publishing, or sharing them. You are also responsible for protecting your Mac, archive, backups, credentials, and exported documents.

6. Optional third-party services

Chroniq can make direct, user-directed requests to Google Gemini, Google Drive, and Google Docs. You choose whether to configure and use those services and are responsible for your accounts, API keys, charges, permissions, administrator policies, and compliance with the provider’s terms. Syscake does not control their availability, output, retention, or security.

The website and release downloads are provided through GitHub, and the application depends on Apple platform services. Third-party terms may apply independently of these Terms.

7. Google Drive publishing

Drive publishing is optional. After you connect Google, select a folder, acknowledge the disclosure, and enable automation, Chroniq may create or update one Google Doc for an eligible meeting. The document may contain the meeting title, generated artifacts, transcript, metadata, processing timings, and token-usage metrics. Chroniq never uploads meeting audio.

Chroniq updates only its owned document tabs and is designed to preserve user-created tabs. You remain responsible for the destination folder, sharing settings, recipients, content, and deletion of published documents. Disconnecting Chroniq stops future access but does not delete documents already created in your Google Drive.

8. Acceptable use

You must not use Chroniq to:

  • violate law, privacy, confidentiality, intellectual-property rights, contracts, or workplace policies;
  • record, monitor, harass, deceive, discriminate against, or harm another person unlawfully;
  • introduce malware, bypass security controls, interfere with the product, or gain unauthorized access to accounts, devices, or data;
  • misrepresent generated output as verified fact or professional advice when it has not been reviewed; or
  • use Chroniq in a high-risk system where an error could reasonably cause death, personal injury, or severe physical or environmental harm.

9. Availability, updates, and product changes

Chroniq is provided for supported macOS versions and hardware. We may release updates, change features, address security issues, or discontinue functionality. Third-party API, operating-system, model, hardware, or network changes may affect operation. You are responsible for installing appropriate updates and maintaining enough local storage and compatible equipment.

10. Disclaimers

To the maximum extent permitted by law, Chroniq is provided “as is” and “as available”. Syscake does not warrant that recording, transcription, generated output, publishing, or third-party services will be uninterrupted, error-free, complete, accurate, or suitable for a particular purpose. Chroniq is not a substitute for professional legal, medical, financial, employment, compliance, or other advice.

Nothing in these Terms excludes warranties, remedies, or other rights that applicable consumer law does not allow the parties to exclude.

11. Limitation of liability

To the maximum extent permitted by law, Syscake is not liable for indirect, incidental, special, consequential, or punitive loss; loss of profit, revenue, business, opportunity, goodwill, or data; unauthorized or unlawful recording; decisions based on unreviewed output; or acts and omissions of third-party services.

These limitations do not apply where liability cannot lawfully be limited or excluded, including liability for fraud, wilful misconduct or gross negligence, death or personal injury caused by negligence, or mandatory consumer rights. Any limitation is interpreted only to the extent enforceable under applicable law.

12. Termination

You may stop using Chroniq at any time and remove it from your devices. You should first export anything you want to keep, disconnect third-party services, revoke access where appropriate, and manage local and Google Drive content under your control. We may suspend or terminate the license if you materially breach these Terms, subject to applicable law.

Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and governing law—continue to apply.

13. Governing law and disputes

These Terms are governed by Italian law, without regard to conflict-of-law rules. The courts of Rome, Italy have exclusive jurisdiction, except where mandatory consumer law entitles you to bring or defend proceedings in another court, including the court of your place of residence.

Before starting formal proceedings, please contact us so we can try to resolve the issue. Nothing here limits a right to use a competent consumer-protection or supervisory authority.

14. Changes, severability, and contact

We may update these Terms to reflect changes to Chroniq, law, security, or third-party services. We will publish updated Terms here and revise the date above. If a change is material, we may provide additional notice where appropriate. Continued use after the effective date means you accept the revised Terms to the extent permitted by law.

If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver.
